SmilePass Accelerator™ Program – Terms and Conditions

These Terms and Conditions (“Terms”) govern your participation in the SmilePass Accelerator™ Program (“Program”) offered by SmilePass Pty Ltd (“SmilePass,” “we,” “us,” or “our”). By enrolling in the Program, you (“Clinic,” “you,” or “your”) agree to be bound by these Terms.

1. Program Overview

The SmilePass Accelerator is a guided onboarding and implementation service designed to assist dental clinics in creating and launching a dental membership program using the SmilePass platform. The Program includes personalised strategy, design and marketing assets, staff training, mentoring, and performance optimisation.

2. Eligibility

To participate, the Clinic must:

 

  • Be a registered dental practice in Australia (or other approved jurisdictions);

  • Have an active SmilePass clinic account;

  • Commit to collaboration with the SmilePass team during the implementation;

  • Not be in breach of any SmilePass service agreements.

3. Program Fee and Payment

  • Standard Program Fee: AUD $5,890)

  • Payment must be made upfront prior to commencement of services.

  • All prices are GST inclusive unless stated otherwise.

4. What’s Included

Upon payment, SmilePass will provide:

 

  • Initial onboarding session with SmilePass Specialist;

  • Membership plan development assistance;

  • Full branded marketing kit (digital and print-ready files);

  • Team training sessions (live or recorded);

  • Launch campaign support and communication materials;

  • Mentoring and performance optimisation for a minimum of 8 weeks;

  • Ongoing support until program achieves a defined baseline (see section 5).

5. Success Guarantee

We commit to supporting your clinic until you onboard at least 50 active, paying members through the SmilePass platform, provided the following conditions are met:

Clinic Commitments:

  • Complete onboarding steps within 30 days of payment;

  • Implement marketing materials and strategies provided;

  • Assign staff members to attend training and respond to follow-up;

  • Actively promote the membership program to patients;

  • Engage in regular check-ins and follow agreed action items.

SmilePass Commitment:

  • If, despite full participation and implementation, the 50-member target is not reached, SmilePass will continue providing mentoring, materials review, and support sessions at no additional cost until the goal is achieved or the clinic chooses to discontinue.

Limitations:

  • The Guarantee is void if the Clinic is unresponsive for more than 21 days without notice;

  • The Guarantee applies to the Accelerator program only, not to platform usage beyond this scope;

  • The Guarantee does not imply any monetary refund.

6. Refund Policy

  • All Accelerator sales are final and non-refundable once onboarding materials have been delivered or onboarding has commenced;

  • In exceptional cases (e.g., technical failure caused by SmilePass), SmilePass may issue partial refunds at its discretion;

  • Clinics cancelling before onboarding may request a refund minus an admin fee of AUD $250.

7. Intellectual Property

All SmilePass materials (templates, training, designs, strategies) remain the property of SmilePass and may not be reproduced, shared, or used outside the scope of this Program or for any commercial purpose unrelated to SmilePass.

8. Confidentiality

Both parties agree to maintain confidentiality of all shared business information, patient data, pricing strategies, and proprietary material. Breach of this clause may result in termination of services and legal action.

9. Clinic Responsibilities

The Clinic must:

 

  • Provide accurate business and patient information;

  • Cooperate fully with SmilePass staff;

  • Not misuse, misrepresent, or manipulate the SmilePass platform;

  • Maintain compliance with dental industry regulations and advertising guidelines;

  • Ensure internal policies allow for memberships and offers.

10. Termination

SmilePass reserves the right to suspend or terminate Program access if:

  • The Clinic fails to comply with these Terms;

  • The Clinic misuses SmilePass brand, tools, or data;

  • There is evidence of fraudulent activity or non-cooperation.

 

No refunds apply in termination cases unless approved in writing by SmilePass.

11. Dispute Resolution

Any disputes arising under these Terms will first be addressed through a good-faith discussion. If unresolved, disputes shall be referred to mediation in Queensland, Australia, prior to initiating legal action.

12. Limitation of Liability

SmilePass is not liable for:

  • Results not achieved due to lack of participation or external factors;

  • Misuse of marketing materials or miscommunication by Clinic staff;

  • Financial outcomes of the Clinic’s pricing decisions or promotions.

 

Total liability is capped at the amount paid for the Program.

13. Changes to Terms

SmilePass reserves the right to modify these Terms. Updated versions will be published and take effect immediately. It is the Clinic’s responsibility to review the latest Terms.

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Queensland, Australia.

15. Acceptance

By proceeding with the payment or participating in the Program, the Clinic acknowledges that it has read, understood, and agreed to these Terms.
